Affiliate Program Agreement

1. Commission

The Affiliate shall receive a commission of twenty percent (20%) of the net value of the client's order. The net value is defined as the total amount paid by the client, excluding any taxes, shipping, handling, and any discounts applied.

2. Payment Terms

The commission will be paid to the Affiliate only after the following conditions are met:

• The client has fully paid for the order.
• The client has not canceled the order.

Payments will be processed within 30 days after the conditions above are met.

3. Affiliate Obligations

The Affiliate agrees to promote the Company’s products and services through ethical and lawful means. The Affiliate will not engage in any fraudulent activities, spam, or misleading advertising.

Upon registration, the Affiliate will be provided with a unique tracking URL. The Affiliate must use this URL exclusively to promote the Company’s services. The tracking is valid for 30 days after a potential customer uses this URL to visit the www.upscalefilm.com website for the first time.

4. Term and Termination

This Agreement shall commence on the date of acceptance by the Affiliate and shall continue until terminated by either party with 30 days written notice.

Either party may terminate this Agreement immediately if the other party breaches any terms of this Agreement.

5. Limitation of Liability

The Company shall not be liable for any indirect, special, or consequential damages arising in connection with this Agreement or the Affiliate Program.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of law principles.

7. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to the subject matter herein.
